1. Acceptance of Terms

By accessing our website at www.kyverrasystems.com or engaging Kyverra Systems Ltd ("Kyverra", "we", "us") for services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our website or services.

These Terms apply to all visitors, clients, and others who access or use our services.

2. Our Services

Kyverra provides digital marketing and ecommerce growth services, which may include but are not limited to:

• Paid media management (Google Ads, Meta Ads, TikTok Ads, LinkedIn Ads)
• Search engine optimisation (SEO) and content marketing
• Email marketing and CRM automation
• Ecommerce growth strategy and management
• Analytics, attribution, and conversion rate optimisation
• Digital strategy consulting and audits

The specific scope of services will be agreed in a separate Statement of Work (SOW) or Service Agreement between Kyverra and the client. In the event of conflict, the SOW takes precedence over these Terms.

3. Client Obligations

As a client, you agree to:

• Provide accurate, timely, and complete information required for us to deliver services
• Grant necessary access to advertising accounts, analytics platforms, and relevant systems
• Review and approve campaign materials within agreed timeframes
• Ensure all content, products, and services you wish us to promote comply with applicable laws and platform policies
• Promptly notify us of any changes that may affect the services

Kyverra shall not be liable for any failures or delays in service delivery resulting from the client's failure to fulfil their obligations.

4. Fees and Payment

Pricing

Fees for services are agreed in the relevant SOW or proposal. Prices are quoted in GBP (£) unless otherwise stated and are exclusive of VAT.

Payment terms

• Retainer fees are invoiced monthly in advance unless otherwise agreed
• Project fees follow the payment schedule outlined in the relevant SOW
• Payment is due within 14 days of invoice date unless otherwise agreed in writing

Late payment

We reserve the right to charge statutory interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, and to suspend services where payment is more than 30 days overdue.

Ad spend

Ad spend (media budget) paid directly to advertising platforms is separate from and in addition to Kyverra's management fees. Clients retain direct billing relationships with advertising platforms.

5. Intellectual Property

Our intellectual property

All content on our website, including text, graphics, logos, and software, is the property of Kyverra Systems Ltd or its licensors and is protected by applicable intellectual property laws.

Work product

Upon receipt of full payment, Kyverra assigns to the client ownership of bespoke deliverables created specifically for that client under the relevant SOW. Kyverra retains ownership of pre-existing tools, frameworks, methodologies, and processes, and retains a non-exclusive licence to use any deliverables in its portfolio.

Client content

You grant Kyverra a non-exclusive licence to use your brand assets, content, and data solely to the extent necessary to provide the agreed services.

6. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party ("Confidential Information") and to use it only for the purposes of the engagement. This obligation does not apply to information that is or becomes publicly available other than through a breach of this clause, or that is required to be disclosed by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Kyverra's total liability arising out of or in connection with these Terms shall not exceed the total fees paid by the client in the three (3) months preceding the event giving rise to the claim
• Kyverra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, or business
• Kyverra does not guarantee specific results, rankings, advertising performance, or revenue outcomes — digital marketing results are inherently variable

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

8. Warranties and Disclaimers

Kyverra warrants that services will be performed with reasonable skill and care in accordance with good industry practice. Except as expressly stated, services are provided "as is" and we make no warranties, express or implied, including warranties of fitness for a particular purpose.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Termination

Either party may terminate a service engagement by giving 30 days' written notice, unless otherwise stated in the SOW. Kyverra may terminate with immediate effect if the client materially breaches these Terms and fails to remedy the breach within 14 days of written notice, or if the client becomes insolvent.

Upon termination, the client shall pay all fees due for work completed up to the termination date. All ad account access and ownership remains with the client at all times.

10. General

Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Entire agreement

These Terms, together with any applicable SOW, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements.

Amendments

We may update these Terms from time to time. Continued use of our services following any update constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
